Terms of Service

These Terms govern your use of Studio Month-End (studiomonthend.com and app.studiomonthend.com), operated by F&S VENTURES LLC, a Minnesota limited liability company ("Studio Month-End," "we," "us"). By creating an account or using the service you agree to them on behalf of yourself and any business you represent. If you do not agree, do not use the service.

The service

Studio Month-End reads the sales report you export from your studio software, in your browser, lets you map its categories and payment types to accounts, and builds a journal entry file and a tie-out report that you import into your accounting software yourself. It does not connect to, log in to, or send anything to your studio software or your accounting software.

Not accounting, tax or legal advice

Studio Month-End builds a journal-entry file from the report you export. It is bookkeeping software, not accounting, tax or legal advice. You choose every account and approve every entry before you import it. Check the tie-out against your own reports and bank deposits. Studio Month-End does not calculate or file sales tax, does not match bank deposits, and does not replace the judgment of you or your accountant. Studio Month-End is not affiliated with, endorsed by or sponsored by Mindbody or Intuit. Mindbody is a trademark of Mindbody, Inc. QuickBooks is a trademark of Intuit Inc.

Your account and responsibilities

You must be able to form a binding contract. Keep your credentials confidential; you are responsible for activity under your account and for the people you invite. You are responsible for the accuracy of what you import, for the mappings you choose, for every entry you approve and post, and for having the right to use the reports you process.

Acceptable use

You may not use the service to break the law or infringe anyone's rights; upload malware; attempt to access another account's data; probe, scan or overload the service; resell it; or interfere with its security. We may suspend or end accounts that do.

Plans and pricing

Studio Month-End has a Free plan and paid Studio and Bookkeeper plans, with prices, limits and billing intervals shown on the pricing page, in US dollars. Free is limited to 1 studio and one month's import file download per account. We may change prices or plan limits for the future with at least 30 days' notice by email; a change applies from your next renewal.

Subscription billing and renewal

Paid plans are billed in advance through Stripe by card, monthly or annually as you choose. Subscriptions renew automatically at the end of each period for the same interval, at the then-current price, until you cancel. We never charge a card without your action to subscribe. If a payment fails, access to paid features may stop until it is paid. You are responsible for applicable taxes.

Cancellation

You can cancel at any time from the billing page in the app (Manage billing opens Stripe's billing portal), or by emailing hello@studiomonthend.com. Cancellation stops the next renewal. You keep paid access through the end of the period you already paid for, and then your account moves to the Free plan. Every entry you built stays readable, with its tie-out.

Refund policy

Because the Free plan lets you use every feature before you pay, fees are non-refundable and we do not give prorated refunds for partial billing periods or for unused time after cancellation, except (a) where the law requires it, and (b) if we charged you in error or charged you twice, in which case we will refund the amount. If you believe a charge is wrong, email hello@studiomonthend.com within 30 days of the charge and we will review it in good faith.

Your data

You own what you enter. You give us a limited license to host, process and display it solely to provide the service to you. We handle your data as described in the Privacy Policy. You can delete your account at any time.

Our property

Studio Month-End, its software, design and branding belong to F&S VENTURES LLC. We grant you a non-exclusive, non-transferable right to use the service while you comply with these Terms. Third-party product names are the property of their owners and are used only to describe compatibility.

Availability

We work to keep Studio Month-End available but do not promise uninterrupted or error-free service. We may change or retire features, and we will give notice of changes that materially reduce what a paid plan includes.

Disclaimer of warranty

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. We do not warrant that an entry or file will be accepted by your accounting software or will be free of errors.

Limitation of liability

To the maximum extent permitted by law, F&S VENTURES LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost data, lost profits, tax penalties or accounting errors, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose, or $100 if you paid nothing. Some jurisdictions do not allow certain limits, and in those the limits apply to the extent permitted.

Termination

You may stop using Studio Month-End and delete your account at any time. We may suspend or end your access if you breach these Terms, fail to pay, or misuse the service, and we will give notice where practical. Sections that by their nature should survive termination will survive.

Governing law

These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Hennepin County, Minnesota, and you and we consent to their jurisdiction, except that either of us may seek injunctive relief in any court of competent jurisdiction.

Changes to these Terms

We may update these Terms. We will change the date above and, for material changes, notify account holders by email at least 30 days before they take effect. Continued use after that is acceptance.
